2. Professional Services Agreement
DarsLab provides digital solutions tailored to individual project requirements. Our services are governed by specific project contracts and milestones:
Project Scope: The scope of each project will be outlined in a separate proposal or agreement. Any work outside this scope will be subject to a separate quote and timeline.
Client Responsibilities: Clients are expected to provide timely feedback, relevant content, and necessary access for project completion. Prolonged delays from the client side may affect the project schedule.
Project Timeline: Timelines shared during proposals are estimates and may be adjusted based on project complexity and feedback cycles.
3. Intellectual Property Rights
The ownership of digital assets created during a project is defined as follows:
Final Products: Upon full payment, the client owns the final deliverables (design files, code, and assets) produced specifically for the project.
Existing Tools: DarsLab retains ownership of any pre-existing tools, internal frameworks, or reusable code components used during development.
Portfolio Usage: Unless otherwise agreed in writing, DarsLab may showcase the completed work in its portfolio for reference purposes.
4. Payment and Financial Terms
Payment terms are tied to project milestones as follows:
All project payments follow the milestones outlined in the project proposal or agreement.
Invoices are expected to be cleared within 7 business days of issuance unless discussed otherwise.
Pending payments may lead to a pause in ongoing development or deployment work until the balance is settled.
5. Limitation of Liability
DarsLab shall not be held liable for any indirect, incidental, or consequential damages arising from the use of our services or delivered products. We take reasonable precautions during development, but we are not responsible for issues caused by third-party hosting platforms, external APIs, or security vulnerabilities outside the scope of our delivered work.
6. Governing Law
These terms are governed by the laws of India. Any disputes arising from these Terms and Conditions or our services will be subject to the jurisdiction of the courts in Haryana, India.
7. Amendments
DarsLab may update these terms from time to time. Any changes will be reflected on this page. Continued use of our website or services after changes are posted will be considered acceptance of the updated terms.
